Terms of Service

1) Agreement

By accessing or using ShiftPilot you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

2) Eligibility & Account

• You must be at least 16 and legally able to enter this agreement.
• You are responsible for your account credentials and all activity under your account.
• Provide accurate information and keep it up to date.

3) Acceptable Use

• No unlawful activity, reverse engineering, automated scraping, or interfering with the service.
• No posting of harmful, abusive, infringing, or misleading content.
• We may investigate and suspend/terminate accounts that violate these rules.

3‑A) Community Standards, Moderation & User‑Generated Content

ShiftPilot includes community spaces where users may post or share content (e.g., text, images, links, comments) (“User Content”). By participating, you agree to follow these standards. You are solely responsible for your User Content.

• No hate speech, harassment, threats, or incitement of violence.
• No nudity, sexual content involving minors, or excessively graphic content.
• No illegal activity, solicitation of illegal goods/services, or instructions for harm.
• No spam, scams, deceptive practices, or content designed to manipulate metrics.
• No defamation, impersonation, or violation of privacy/publicity rights.
• No infringement of copyright, trademark, or other intellectual‑property rights.
• Respect others; keep posts relevant, constructive, and truthful.

We may remove or restrict content, and suspend or terminate accounts, at our sole discretion to protect users, comply with law, or enforce these Terms. We may preserve and disclose information to comply with legal obligations or requests from law enforcement where we believe disclosure is reasonably necessary.

3‑B) User Content License & No Duty to Monitor

You retain ownership of your User Content. To operate the service, you grant COVA Labs, LLC (ShiftPilot) a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable license to host, store, reproduce, modify (for formatting, moderation, or technical purposes), publish, display, and distribute your User Content in connection with ShiftPilot and our services. This license ends when your User Content is deleted from our systems, subject to reasonable backups and legal retention.

We do not undertake any obligation to pre‑screen or actively monitor User Content and disclaim any responsibility or liability for it. However, we reserve the right to remove or disable access to any User Content, or to suspend or terminate access to any user or account, at any time and without notice, for any reason or no reason, including to enforce these Terms or protect users or the service.

3‑C) Reporting, Blocking & Enforcement

• Flagging: Users can report content or behavior they believe violates these Terms using in‑app tools or by emailing info@covalabsstudio.com.
• Blocking: Users may block other accounts; blocking hides the blocked user’s content and prevents direct interactions where supported.
• Review Window: We aim to review reports promptly (generally within 24 hours) and take appropriate action at our sole discretion.
• Appeals: If you believe we removed content or took action in error, contact info@covalabsstudio.com with details; we may, but are not obligated to, reevaluate.
• Law Enforcement: We may preserve/produce content to comply with law or protect users, consistent with applicable legal process.

4) No Tax, Financial, or Legal Advice

ShiftPilot is a tool for tracking and planning. COVA Labs, LLC (ShiftPilot) is not a law firm or CPA. The app does not provide professional advice. Consult qualified professionals for your situation.

5) Service Availability & Changes

We strive for reliability but do not guarantee uninterrupted service. Features may change, pause, or be discontinued without notice. We may update the app automatically.

6) Payments, Billing & Third‑Party Processors

Some features may require paid plans (for example, ShiftPilot Pro). Payment processing is handled by trusted third parties:

• Stripe (web / external checkout): If you subscribe on the web, Stripe processes your payment and may ask for contact details to manage billing. We do not store your full card number on our servers.
• Google Play Billing (Android in‑app): If you subscribe inside the Google Play Store version, Google processes the payment and manages the subscription through your Google account.

Your plan status (Pro access) is reflected inside ShiftPilot based on verified billing status from these processors.

7) Fees & Subscriptions

Prices, billing cycles, free trials (if offered), and refund terms are presented at checkout or in‑app. Taxes may apply. You can cancel future renewals at any time through the same place you subscribed (Stripe portal or Google Play subscriptions).

• Renewals: Subscriptions renew automatically until canceled.
• Canceling: Canceling stops future renewals; you typically keep access until the end of the paid period.
• Refunds: Refunds are handled under the policies shown at purchase time (and may be governed by Stripe or Google Play rules).
• Price changes: If pricing changes, we’ll communicate it in advance where required.

8) Safety — Do not use while driving

Your safety comes first. Do not interact with the app while driving. If you use GPS features, make sure your device is mounted safely and use hands‑free controls when possible. You are responsible for complying with traffic laws and local regulations.

9) Intellectual Property

ShiftPilot, including software, trademarks, and content we provide, is owned by COVA Labs, LLC (ShiftPilot) and licensed, not sold, to you. You retain rights to content you create in the app.

10) Disclaimers

THE SERVICE, INCLUDING ANY USER CONTENT DISPLAYED THEREIN, IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVA Labs, LLC (ShiftPilot) AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ANY USER CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $50 IF YOU PAID NOTHING).

12) Indemnification

You agree to defend, indemnify, and hold harmless COVA Labs, LLC (ShiftPilot) and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

13) Copyright / DMCA

If you believe that content accessible on ShiftPilot infringes your copyright, please send a notice to info@covalabsstudio.com with the following:

• Identification of the copyrighted work you claim has been infringed.
• Identification of the material that is claimed to be infringing, with sufficient detail to locate it.
• Your contact information (name, address, telephone, and email).
• A statement that you have a good‑faith belief the use is not authorized by the copyright owner, agent, or law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your physical or electronic signature.

We may remove or disable access to the material and, where appropriate, terminate repeat infringers. Counter‑notifications may be sent to the same address and should include sufficient legal detail for review.

14) Termination

You may stop using the service at any time. We may suspend or terminate access for any violation of these Terms, unlawful conduct, or risk to the service or others. Upon termination, certain sections (e.g., IP, Disclaimers, Liability, Indemnification, Governing Law) continue to apply.

15) Governing Law

These Terms are governed by the laws of the United States and the state where COVA Labs, LLC (ShiftPilot) is organized, without regard to conflict-of-law principles. Venue and jurisdiction lie in that state’s courts unless otherwise required by law.
